THE
RULES

Money buys temporary featured placement. Time burns down. Anyone can pay more than the monetary value left and take the page immediately.

TIME IS MONEY. OUTSPEND WHOEVER HAS IT.

1. Buying time

The founders rate starts at one day per $1.00 USD, with a $1.00 minimum purchase. At scarcity stage zero, $1 buys up to one day, $5 buys up to five days, and $10 buys up to ten days. After each successful public placement, the rate for the next buyer becomes one hour scarcer per dollar. It stops shrinking at six hours per dollar after 18 successful placements. Expiry, moderation, failed payments, retries, and duplicate callbacks do not move the scarcity stage. The live rate, stage, minimum, maximum, and currency shown in the purchase flow control if they differ from these launch values.

A purchase keeps the exact duration quoted when its payment attempt is accepted. A later scarcity stage does not shorten an existing reign or an already journaled attempt.

“Up to” matters. Display time is not guaranteed. Your placement ends when its timer reaches zero, when another successful buyer outspends its remaining value, or when we remove content under these rules or the Terms.

2. The takeover price

The takeover price decays with the current owner’s unused time. The minimum valid takeover is the greater of the minimum purchase or one cent more than the remaining monetary value.

Example at stage zero: somebody pays $5 for up to five days. Two days later, three days and $3.00 of value remain. The next valid takeover begins at $3.01. The visible timer, burn percentage, and next-cent clock are fast local renderings of trusted server timestamps; payment uses whole cents and the server always recalculates the actual minimum before it accepts an attempt.

3. One winner

Several people may see the same price and try at once. A buyer signs a one-time authorization for the exact amount of the real digital asset, production network, token contract, and receiver shown in the purchase flow. The production facilitator identified there verifies the authorization. The authoritative server then atomically accepts exactly one valid attempt for an ownership version, submits only that winner for settlement, and changes the public owner only after matching payment proof is confirmed. The facilitator's security, abuse, legal-compliance, or verification controls may reject an authorization.

A losing, stale, or invalid x402 signature is never intentionally submitted for settlement and expires automatically. If an on-chain result is temporarily uncertain, the existing owner remains live and no second winner is selected while Outspend reconciles the transaction. A settled production-network transfer has real financial value, is public, and is irreversible; it cannot be cancelled like a card authorization.

New Stripe card payments are disabled at launch. If that dormant rail is enabled later, losing, stale, or invalid card authorizations are cancelled and are not intentionally captured. Even after cancellation, a bank may take time to release a temporary authorization hold. That timing is controlled by the bank.

4. When you get outspent

A legitimate takeover ends your placement immediately. Any unused time is forfeited and is not automatically refunded, including when the winning payment was a confirmed, irreversible on-chain transfer. You bought a chance to occupy the page for up to a calculated duration, not a guaranteed block of impressions or an exclusive lease.

5. Raid Mode

Raid Mode shows an approximate count of live main-page browser connections and lets each live connection choose one free visual Raid or Defense side at a time. A participant may explicitly defect after a second confirmation; the connection moves sides and is never counted on both. Each open connection, including another tab or device, can count separately, so this is not a count of unique people. These free signals never change the countdown, takeover price, placement order, or owner, and never authorize or charge a payment. Participation resets when the ownership version changes.

When Crowd Coup is available, one challenger may authorize the entire valid takeover amount and publish a version-bound rally lasting up to three minutes, shortened if the current owner's timer ends sooner. Verified browsers can support that coup for free. Support adds power but does not transfer ownership, capture a payment, or give supporters property, prizes, refunds, or economic rights. Filling the power target never automatically captures the authorization; only the sponsoring browser can explicitly press Fire. The sponsor may cancel before firing. The server then rechecks the authorization, ownership version, live price, and one-winner lock.

The frozen power target is five power for each whole or partial dollar of remaining owner value when the coup arms, with a minimum of five and maximum of 50. Each verified supporter adds one power. Each whole dollar the sponsor authorizes above the live minimum adds ten sponsor power, but at least five verified supporters are always required. If the coup wins, every captured dollar—including extra sponsor dollars—buys the normal amount of temporary placement time; there is no separate voting fee.

A direct takeover may win while a coup is assembling. An expired, displaced, invalid, or losing coup is cancelled, although the sponsor's bank may take time to release its temporary hold. If the sponsor fires and wins, its full captured amount buys up to the normal calculated placement time. Supporter totals represent verified browser participation, not guaranteed unique people. Duplicate and automated support is filtered, and at launch no more than three accepted supports may come from the same keyed network signal in one coup; shared or changing networks can therefore affect participation.

6. What you are buying

You are purchasing temporary featured placement on outspend.app. You do not purchase or own the Outspend name, domain, application, company, code, audience, or any other business asset. We do not guarantee traffic, clicks, sales, search ranking, or any commercial result.

7. Creative and destinations

You may submit a name or company, an HTTPS destination, a short tagline, and one constrained fallback theme. After a win, Outspend may asynchronously read a bounded public response from the destination's homepage and same-origin stylesheets to derive a few normalized color tokens and an abstract local pattern. This never delays ownership and never embeds the destination's HTML, JavaScript, CSS, fonts, images, cookies, or tracking code. Public outbound links pass through an Outspend redirect route so the submitted destination is not treated as page code.

Do not submit content or destinations involving:

  • phishing, credential theft, malware, deceptive downloads, impersonation, or fraud;
  • illegal goods or activity, exploitation, credible threats, or instructions designed to cause harm;
  • adult content or services, sexually explicit material, non-consensual sexual content, or any sexual content involving minors;
  • gambling, lotteries, prize schemes, weapons, controlled substances, tobacco or vaping products, counterfeit goods, or other products prohibited by Stripe or payment networks;
  • deceptive or high-risk financial, credit, debt-relief, investment, cryptocurrency, money-transmission, multi-level-marketing, or get-rich-quick offers;
  • hate, targeted harassment, or content that promotes discrimination or violence;
  • infringement of intellectual property, privacy, publicity, or other third-party rights;
  • false claims of affiliation with Outspend or misleading claims about what the placement represents;
  • attempts to evade validation, abuse the payment race, automate takeovers, or interfere with the service.

8. Moderation

We may reject, disable, redirect, or remove a creative or destination that violates these rules, the Terms, law, payment-network requirements, or reasonable safety standards. We may use automated signals and human review. Moderation does not make Outspend the speaker or endorser of owner content.

An unsafe destination can be suppressed while an irreversible x402 settlement is being reconciled. Suppression never causes the blocked creative to be published, but it cannot cancel a transfer that has already settled on-chain.

9. AI is optional

AI features are disabled at launch. If enabled later, AI Remix may suggest alternate taglines and a post-takeover commentator may generate a joke. Both remain optional, non-critical flourishes. AI never decides the price, payment result, race winner, or current owner. Suggestions must still follow these rules, and you remain responsible for anything you choose to publish.

10. Keep it simple

No account is required. There are no subscriptions, rounds, seasons, or conventional auctions. Never give Outspend or anyone claiming to represent it a wallet seed phrase, private key, or secret recovery information.
