These terms govern outspend.app and each purchase of temporary featured placement. By using the service or starting a payment, you agree to them.

1. The service
Outspend is a real-time promotional game. A successful purchaser may display an approved name, destination, tagline, and theme over most of the public page for up to a calculated duration. Another purchaser may end that placement early by successfully exceeding its remaining monetary value.
2. Eligibility and authority
You must be at least the age of majority where you live and able to enter a binding contract. If you submit content for a company or another person, you represent that you have authority to do so. You may not use Outspend where its use or the submitted promotion would be unlawful.
3. Price, duration, and displacement
Before authorization, the server calculates the minimum valid amount using integer cents and the live ownership version. The interface may show a locally advancing estimate, but only the server’s calculation is authoritative. Your purchase buys up to the corresponding display time at the rate shown at checkout.
You agree that another successful outspend may displace you at any time. Unused time is forfeited when you are legitimately outspent and is not automatically refundable. The public countdown, remaining value, and takeover price are informational renderings of the authoritative timestamps and rules.
4. Payment authorization and settlement
New card payments are disabled at launch. If the Stripe rail is enabled later, we first request a manual-capture authorization. For a given ownership version, the server atomically selects no more than one valid attempt and captures only after its acceptance is confirmed. Historical card reconciliation routes remain available while needed.
A cancelled authorization can remain visible as “pending” or as a hold until the card issuer releases it. That does not necessarily mean it was captured. You authorize capture if and only if your valid attempt wins under the server’s race rules, subject to correction of technical or processing errors.
The wallet payment option uses x402 on the production network shown during checkout. You may sign a one-time authorization for the exact displayed amount of the identified digital asset, which has real financial value. The server asks the production facilitator identified in the purchase flow to verify the authorization, atomically reserves exactly one winning slot for the current ownership version, and submits only that winner for on-chain settlement. The facilitator may apply its own security, abuse, legal-compliance, or verification controls and may reject an authorization. A losing or stale signature is not intentionally settled and expires.
The public owner changes only after a matching payer, network, asset, amount, recipient, and transaction receipt are confirmed. If a settlement result is uncertain, the incumbent remains public and the race remains locked while the result is reconciled on-chain; Outspend does not select a second winner while the first transfer may have occurred.
Production-network digital-asset transfers are public, carry real value, and are irreversible. They do not have a card-style cancellation mechanism. A confirmed on-chain settlement is not automatically refundable, including after legitimate displacement or removal of prohibited creative, except where applicable law requires otherwise. Review the network, token contract, receiver, and amount in every wallet prompt carefully. Outspend will never ask for your wallet seed phrase, private key, or secret recovery information, and you must never send any of them to us.
5. Crowd Coup
Crowd Coup and new Stripe payments are disabled at launch. The following terms apply only if that feature is deliberately enabled later.
A challenger may choose to arm a Crowd Coup instead of requesting an immediate takeover. The challenger alone selects and authorizes the full displayed amount. Supporters participate for free: they do not provide a payment method, are not charged, receive no ownership interest, prize, monetary value, transferable reward, or right to control the challenger’s placement.
The rally and authorization window lasts up to three minutes and is shortened if the targeted owner's placement expires sooner. Meeting the disclosed supporter threshold does not itself cause capture. It only unlocks a final Fire control for the challenger; the challenger must deliberately use that control before expiry, and the attempt must still be valid for the targeted ownership version and live price. The challenger may cancel the coup before firing. Support by itself never transfers ownership or substitutes for the required payment. The outcome is rule-based, not a game of chance or a random drawing.
Supporter totals are approximate counts of verified browser participation, not guaranteed counts of unique people. Browser settings, reconnects, abuse controls, network conditions, or attempted manipulation may affect whether support is accepted or displayed. The authoritative server count controls.
If the threshold is not met, the coup expires, its target becomes stale, another valid attempt wins first, or we cancel it for safety or integrity, we cancel the challenger’s authorization and do not intentionally capture it. A cancelled authorization may nevertheless remain visible as a pending issuer hold until the challenger’s bank releases it.
6. Refunds and corrections
Legitimate displacement and normal timer expiration are not grounds for a refund. If we confirm an erroneous duplicate card capture, capture of a losing card attempt, or another payment-processing error, we will correct it as required by law and payment-network rules. Crypto corrections, if any, may require a separate transaction and network fees because a settled transfer cannot be cancelled. We may request the payment or transaction identifier and reasonable information needed to investigate.
7. Your content and licence
You retain rights you have in submitted creative. You grant us a worldwide, non-exclusive, royalty-free licence to host, validate, format, display, reproduce, transmit, and moderate that creative as needed to operate, secure, demonstrate, and promote the service. This licence ends when no longer reasonably needed for those purposes, except for backups, transaction records, legal compliance, and modest historical records.
You represent that your creative and destination are accurate enough not to deceive visitors, comply with the Rules, and do not violate law or third-party rights. You are responsible for the destination and for claims made in your content.
Outspend may derive a constrained visual profile from a bounded public response served by your destination after a successful purchase. The profile is decorative, may fall back to your selected atmosphere, and is not an endorsement, safety scan, faithful copy, or guarantee of how the destination appears.
8. Moderation and service protection
We may reject or remove content, disable a destination, cancel an attempt, restrict abusive traffic, or suspend access when reasonably necessary for safety, law, these Terms, the Rules, payment-network obligations, or service integrity. Urgent removal may occur without advance notice. Removal for a violation does not entitle the submitter to a refund except where required by law.
You may not probe, scrape, overload, reverse engineer for abuse, bypass Turnstile or rate limits, manipulate timers, exploit race conditions, test stolen payment credentials, or interfere with other visitors.
9. AI features
AI features are disabled at launch. If enabled later, they are optional and provided for entertainment. Output may be inaccurate, repetitive, or unsuitable. You decide whether to use a suggestion and are responsible for submitted content. AI availability or failure never changes a payment or ownership result.
10. Availability and changes
The service may experience maintenance, abuse mitigation, payment-provider interruptions, or other downtime. We may change prospective prices, limits, themes, providers, or features and may discontinue the service. A price or rule shown and accepted for a completed purchase controls that purchase to the extent stated at checkout.
11. Disclaimers
To the maximum extent permitted by law, Outspend is provided “as is” and “as available.” We do not warrant uninterrupted availability, a particular number of visitors or clicks, commercial results, the conduct of other users, or the continued availability or safety of third-party destinations. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
12. Liability
To the maximum extent permitted by law, Outspend and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the service, owner content, third-party destinations, or early displacement. Any aggregate liability relating to a purchase will not exceed the greater of the amount you paid for the purchase giving rise to the claim or the minimum amount required by applicable law.
13. General
If part of these Terms is unenforceable, the rest remains effective. A delay in enforcing a term is not a waiver. You may not transfer your rights under these Terms in a way that harms us or other users; we may transfer these Terms as part of operating or reorganizing the service. Applicable consumer protections and mandatory local law continue to apply.
